Legal Counsel / Senior Legal Officer

Job Description

We are looking for a Sri Lankan Legal Counsel to provide dedicated legal support for land transactions on behalf of our client company. This role will be closely involved in the land sales transaction process, including drafting, reviewing and revising transaction documents, supporting investor negotiations, arranging execution, coordinating registration and facilitating closing.

This is a business-facing and transaction-focused legal role. The successful candidate should have practical experience in real estate or land transactions, strong familiarity with land registration, deed registration and notarial documentation, and the ability to provide high-quality legal support in investor negotiations, company commission coordination, land registration and transaction closing.

Responsibilities:

• Draft, review and revise land transaction documents based on company templates, including Sale and Purchase Agreements, Offer Letters, Deeds of Release and Surrender, Mortgage Bonds, MOUs and other transaction-related documents.
• Attend meetings with investors and their legal advisers to explain contract provisions, record legal issues, summarize points of disagreement and revise documents based on internal discussions.
• Follow up on legal milestones in land transactions, including Offer Letter, SPA, Deed, Mortgage/Release, execution, payment conditions, registration and closing.
• Prepare, review, submit or coordinate documents required by or relating to the Company Commission, land registry, surveyors, banks and other relevant parties.
• Review investor corporate documents, signing authority, board/shareholder resolutions, powers of attorney, identity of signatories and execution formalities.
• Prepare or review board resolutions, shareholder resolutions, powers of attorney, authorization letters and other internal authorization or transaction-supporting documents.
• Coordinate with the finance team on stamp duty, taxes, statutory fees and other transaction-related payments.
• Maintain land transaction templates, standard clauses, legal checklists, transaction document registers, execution versions and registration document records.
• Draft or review a limited number of non-land transaction agreements as required by the department, including consultancy agreements, marketing agreements, MOUs and NDAs.
• Identify risks relating to default, delayed payment, termination, mortgage release and closing delays, and draft or review basic dispute-related documents such as notices, demand letters and termination letters where required.

Requirements:

• Qualification as an Attorney-at-Law of Sri Lanka is mandatory.
• 5-8 years of relevant legal experience, suitable for Legal Counsel / Senior Legal Officer level.
• Proven experience in real estate, land transactions or land-related legal documentation is mandatory.
• Practical familiarity with land registry, deed registration and notarial documentation is mandatory.
• Qualification as a Notary Public is strongly preferred. Candidates who can support land transaction document execution as a notary will be highly regarded.
• Candidates from reputable local law firms with experience in real estate, project development or corporate/commercial practice, or from legal departments of real estate developers or large corporations, are preferred.
• Experience in property development, mixed-use development, Company Commission, special economic zones, BOI or regulator-facing matters is an advantage.
• Excellent English is required, including the ability to independently draft, review and revise English contracts and legal documents, and communicate legal issues clearly in meetings.
• Strong business-friendly legal mindset, with the ability to provide practical, negotiable and risk-controlled solutions.
• Strong communication and coordination skills, with the ability to work effectively with investors, regulators, land registry, banks, surveyors and internal teams.
• Ability to respond promptly during investor negotiation, signing and closing stages and complete document review and revision within transaction timelines.
